Suitable Sites.
Following receipt of your on line application form, this will be evaluated by a representative of TWD Accountants and you will be notified of your acceptance via. email. If it is felt that your site is unsuitable for our program we reserve the right to reject the application. Unsuitable sites include (but are not limited to) those that contain sexually explicit materials, promote violence or discrimination (based on sex, religion, race, disability, nationality or sexual orientation), contain illegal material or promote illegal activities or infringe upon intellectual rights or upon copyright.

Linking From Your Site.
You are required to use the TWD Accountants Associate link on your web site, which should be clickable (enabling a visitor to your site to visit the twdaccounts.co.uk site at the domain name twdaccounts.co.uk). You may also include the link upon any page on your web site, so long as it is contained on the same site used on the application form.

Operation.
TWD Accountants Ltd agrees to process all applications received through the associate program, although we reserve the right to reject applications that do not comply with our requirements or which we feel are fraudulent. twdaccounts.co.uk also agrees to handle payments for which it has supplied a secure site in accordance with our normal operating procedure

Associate Commission.
We agree to pay associate commission on applications received from your site link. In order for an application to generate a commission the customer must have followed the special link from your web site to our web site (twdaccounts.co.uk), applied for the required service using our on-line form, and where relevant (for the tax return & accountancy service), made the appropriate payment. We pay commission on applications received from a session directly from your web site - we will not pay commission on that customer's future purchases unless they have followed the link from your web site again.

Associate Commission Rates.
We will pay associate commission as follows:
· For each completed tax review application form, (non self assessment) operated by TWD Tax Services Ltd, £1.25 (One Pound and Twenty Five Pence)
· For each completed self assessment application (non self employed) operated by TWD Tax Services Ltd), £8.00 (Eight Pounds)
· For each completed accountancy & tax application, (self employed), operated by TWD Accountants Ltd, £15.00 (Fifteen Pounds)
The above payments are net of vat. Associates who are vat registered are required to state so, and provide their vat number.

Payment of Associate Commission.
We operate a self billing system; statements will be sent by the 15th of the month following that in which the applications are received, together with a cheque where appropriate (min value £10.00). Amounts less than £10.00 will be carried over to the following month. We reserve the right to change this from time to time giving you one month's notice of an impending change.

Responsibility for your site
For the duration of this agreement, You agree that your site: will comply with all applicable laws and regulations; will not infringe any intellectual property rights of a third party; will not libel, defame, cause injury to, invade the privacy of or otherwise infringe or violate the rights of any person or third party; will not contain any defamatory, pornographic or unlawful content; or will not link directly to any material which is in breach of the provisions of this agreement. If at any time during the term any part of the your site is not in accordance with the provisions of this agreement, then you shall remove the offending part of the content of your site and replace it with alternative content which is not in breach of this agreement.

Warranty & Indemnity.
Each party to this agreement represents and warrants to the other that it has, and will retain during the term all right, title and authority to enter into this agreement, to grant to the other party the rights and licences granted in this agreement, and to perform all of its obligations under this agreement. You shall fully indemnify and keep fully indemnified.

Confidentiality
During the term of this Agreement, the affiliate may have access to certain information from or about twdaccounts.co.uk or its associated entities, which twdaccounts.co.uk may consider confidential. Confidential Information does not include information that is generally known and available, or in the public domain through no fault of the affiliate. The affiliate agrees not to disclose any Confidential Information to any third parties and not to use any confidential information for any purposes except to carry out its rights and responsibilities under this agreement.

Miscellaneous.
Either party may terminate this agreement on one months notice by e-mail to the other without prejudice to its other rights and remedies. Such notice will be deemed to have been received six days after posting unless the sending party receives a communication that the notice was undeliverable. Any failure by either party to enforce any provision of this agreement shall not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time. You may not assign your rights or delegate your duties under this agreement. Nothing in this agreement shall be deemed to create a relationship of joint venture, principal-agent or partnership relationship between us, and neither party shall hold itself out in its advertising or in any other manner that would indicate or imply any such relationship with the other. This agreement constitutes the entire agreement between the parties with respect to the subject matter. All prior agreements, understandings, negotiations or representations, whether oral or in writing, relating to the subject matter are superseded and cancelled in their entirety. If any provision of this agreement is adjudged to be invalid, void, or unenforceable, the parties agree that the remaining provisions hereof will not be affected thereby, that the provision in question may be replaced by the lawful provision that most nearly embodies the original intention of the parties, and this agreement will in any event remain valid and enforceable. This agreement will be governed by the laws of England.

Limitation of Liability.
twdaccounts.co.uk cannot be held liable for indirect, consequential or special damages, including loss of revenue, profits or data arising from using the Associate Program. twdaccounts.co.uk can also not be held liable for times when our site is unavailable for whatever reason. Nothing in this agreement shall exclude or limit liability for death or personal injury resulting from the negligence of party or their servants, agents or employees.
